1. Applicability

• This Agreement applies to all users including buyers, businesses, and visitors accessing the Platform for industrial products and services.

2. Nature of Platform

The Platform operates as:

• (a) a B2B marketplace for industrial and commercial users
• (b) a B2C platform for individual customers (if applicable)

The Company may act as a seller and/or intermediary depending on the transaction.

3. User Eligibility

• Users must be capable of forming legally binding contracts under applicable law
• Business users must provide valid details such as GST, business registration, etc.
• Users acting on behalf of a business confirm they are authorized

4. Account Registration

Users must:

• Provide accurate and complete information
• Maintain confidentiality of login details
• Inform us of any unauthorized use

We reserve the right to suspend or terminate accounts for false or misleading information.

5. Use of Platform

Users agree not to:

• Provide false or misleading information
• Upload illegal or harmful content
• Violate intellectual property rights
• Engage in fraudulent activities

6. Products and Services

We deal in industrial products including Tools, Lubricants, MRO, Safety, Garage Equipment, etc.

All products must be used by qualified professionals. The Company is not responsible for misuse or improper handling.

7. Orders and Acceptance

• All orders are subject to acceptance by the Company
• We reserve the right to cancel orders due to pricing errors, stock issues, or suspected fraud

8. Pricing and Payment

• Prices are subject to change without notice
• GST and applicable taxes will be charged
• Payment must be made in advance unless otherwise agreed
• We do not offer any credit facility

9. Shipping and Delivery

• Delivery timelines are indicative only
• Risk transfers to the buyer upon dispatch
• We are not liable for delays caused by transport or external factors

10. Inspection and Claims

• Buyers must inspect goods at the time of delivery
• Any damage or defect must be reported within 48 hours
• No claims will be accepted after this period

11. Returns and Refunds

• Returns are accepted only for defective or incorrect products
• Used or damaged goods are not eligible
• Refunds, if approved, will be processed within reasonable time

12. Limitation of Liability

The Company shall not be liable for:

• Indirect or consequential damages
• Loss of business or profits
• Delays in delivery
• Misuse of products

Total liability shall not exceed the amount paid for the product.

13. Intellectual Property

All content on the Platform is owned by the Company and cannot be used without permission.

14. Indemnity

Users agree to indemnify the Company against any claims arising from misuse, violation of law, or breach of this Agreement.

15. Termination

We may suspend or terminate access without notice if:

• Terms are violated
• Fraudulent activity is suspected

16. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. Courts in Hospet/Karnataka shall have exclusive jurisdiction.
